TechFab is the exclusive proprietor of copyright in any and all Software available on the websites and use of such Software is governed by the terms of the end user license agreement which is either signed by both the user and TechFab, or is included with the Software ("License Agreement").

If TechFab makes Software available on this Web Site without a License Agreement, the user may use such Software only for personal use to design, develop, and create walls / slopes using TechFab products and services. The User shall not resell, sublicense, or redistribute or indulge in any other form of commercial exploitation of any Software made available to the user by TechFab without a valid License Agreement with TechFab that entitles user to do the same.

IN NO EVENT SHALL TECHFAB AND/OR ITS RESPECTIVE AGENTS/LICENSEES BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF SOFTWARE, DOCUMENTATION, APIS, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM ANY OF THE FOREGOING SOFTWARE, DOCUMENTATION, OR SERVICES.

RESERVATION OF RIGHTS

TechFab reserves all rights not expressly granted under these Terms of Use, and no other rights are granted under these Terms of Use by implication or otherwise.

MEMBER ACCOUNT, PASSWORD, AND SECURITY

If any of the Services requires the user to open an account, the user must complete the registration process by providing TechFab with current, complete and accurate information as prompted by the applicable registration form. The User also will choose a password and a user name. The Users are entirely responsible for maintaining the confidentiality of its own  password and account. Furthermore, the users are entirely responsible for any and all activities that occur under userrs account. Users agree to notify TechFab immediately of any unauthorized use of their account or any other breach of security. TechFab will not be liable for any loss that the user may incur as a result of someone else using its password or account, either with or without the user’s knowledge. However, the user could be held liable for losses incurred by TechFab or another party due to someone else using the user’s account or password details. The User may not use anyone else's account at any time, without the permission of the account holder.

NO UNLAWFUL OR PROHIBITED USE

As a condition to the user’s use of the Services, the user will not use the Services or Software for any purpose that is unlawful or prohibited by these terms, conditions, and notices. The User may not use the Services in any manner that could damage, disable, overburden, or impair any TechFab server, or the network(s) connected to any TechFab server, or interfere with any other party's use and enjoyment of any Services. The user may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any TechFab server or to any of the Services, through hacking, password mining or any other means. The user may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

GENERAL RESTRICTIONS

 The user agrees not to disclose, provide, or otherwise make available trade secrets contained within the Services in any form to any third party and  the user further agree to implement reasonable security measures to protect such trade secrets. The user agrees not to reverse engineer, decompile, disassemble, translate, or attempt to learn TechFab’s code of the Software or Services. Unless expressly set forth,  the user may not use, copy, modify, create derivative works of, distribute, sell, assign, pledge, sublicense, lease, loan, rent, timeshare, deliver, or otherwise transfer, directly or indirectly, the Software (in whole or in part) or any rights in the Services. The user may not remove from the Software or Services, or alter or add, any Trade Marks or copyright notices or other proprietary rights markings. The user shall not (A) create Internet "links" to the Software or Service or "frame" or "mirror" any Software or Service on any other machine; or (B) reverse engineer or access the Service or Software in order to (1) build a competitive product or service, (2) build a product using similar ideas, features, functions or graphics of the Software or Service, or (3) copy any ideas, features, functions or graphics of the Software or Service. 

USE OF SERVICES

The Services may contain e-mail services, bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable the users to communicate with others (each a "Communication Service" and collectively "Communication Services"). User agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, the user agrees that when using the Communication Services,  the user will not:

Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party. 

Upload files that contain viruses, Trojan horses, worms, time bombs, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another. 

Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Services specifically allows such messages. 

Download any file posted by another user of a Communication Service that the user knows, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner. 

Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or TechFab’s  software or other material contained in a file that is uploaded. 

Restrict or inhibit any other user from using and enjoying the Communication Services. 

Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service. 

Harvest or otherwise collect information about others, including e-mail addresses. 

Violate any applicable laws or regulations. 

Create a false identity for the purpose of misleading others. 

Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Services or other user or usage information or any portion thereof.

TechFab has no obligation to monitor the Communication Services. However, TechFab reserves the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. TechFab reserves the right to terminate the user access to any or all of the Communication Services at any time, without notice, for any reason whatsoever.

TechFab reserves its right at all times to disclose any information TechFab deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in TechFab's sole discretion.

Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; the users are responsible for adhering to such limitations if they download the materials.

MATERIALS PROVIDED TO TECHFAB OR POSTED AT ANY TECHFAB WEB SITE

By posting, uploading, inputting, providing or submitting any submission or feedback the  users are granting TechFab, its affiliated companies, necessary sub-licensees (including third parties whose products, technologies and services use and interface with any specific parts of a TechFab software or service that includes the submission), without charge, the right to use, share and commercialize  the user’s submission in any way and for any purpose..

By posting a submission the user  warrants and represents that the user owns or otherwise controls all of the rights to the contents / information submitted..

LINKS TO THIRD PARTY SITES

Third Party links will let the user leave TechFab’s Website. The Linked sites are not under the control of TechFab and TechFab is not responsible for the content of any linked site and the inclusion of any link does not imply endorsement by TechFab of the said site.

TRADEMARKS

"TechFab Trademarks" means all names, marks, brands, logos, designs, trade dress, slogans and other designations TechFab uses in connection with its products and services. The user may not remove or alter any TechFab Trademarks, or co-brand its own products or material with TechFab’s Trademarks, without TechFab's prior written consent. The user acknowledges TechFab’s rights in TechFab Trademarks and agrees that any use of TechFab Trademarks by the user shall inure to TechFab’s sole benefit. The user agrees not to incorporate any TechFab Trademarks into its trademarks, service marks, company names, Internet addresses, domain names, copyrights or any other similar designations, for use on or in connection with computer or Internet-related products, services or technologies.

SEVERABILITY

If any provision of the Terms of Use is found to be invalid, unlawful or unenforceable in any respect under any applicable statute or rule of law, it shall to that extent be deemed omitted, and the balance of this Terms of Use shall be enforceable in accordance with its terms.

NOTICES & ELECTRONIC COMMUNICATION 

TechFab may give notice by means of a general notice on the Software or Service, electronic mail to the user’s e-mail address on record in TechFab's account information, or by written communication sent by registered post to the user’s address on record in TechFab's account information. Such notice shall be deemed to have been given upon the expiration of 72 hours after mailing or posting or 24 hours after sending (if sent by email). The user may give notice to TechFab (such notice shall be deemed given when received by TechFab) at any time by any of the following: letter sent by confirmed facsimile or third party confirmed mail delivery to TechFab at the address set forth on the Website. The Services and Software are conducted and provided electronically and the user agrees that TechFab may communicate electronically with the user for matters relating to the Services and Software, including educational information and notifications regarding product updates, training opportunities and ways to more efficiently use the Software and Services. The parties agree that the notice is to be written in English only. 

GOVERNING LAW AND JURISDICTION

All matters relating to the users access to or use of any TechFab’s website and Software shall be governed by and construed and enforced in accordance with the laws of Republic of India. Any legal action or proceeding relating to user’s access to or use of any TechFab website shall be instituted in  Courts in Mumbai alone. The user and TechFab agree to submit to the jurisdiction of, and agree that venue is proper in, these Courts only.
